Terms of service and sale

Effective date: 2026-10-23 (DRAFT).

DRAFT for the owner. Not legal advice and not reviewed by a lawyer. The refund terms, liability cap and governing law are proposals. Items marked like [this] must be filled in before publishing.

1. About these terms

These terms are an agreement between you and SuiteSQR LLC, a Florida limited liability company, PO Box 540282, Greenacres, FL 33454 ("we", "us") for the SuiteMemo browser extension, the SuiteMemo service it connects to, and paid subscriptions to them. If you use SuiteMemo for your employer or a client, you accept these terms for them and confirm you are allowed to.

We, not Google or Microsoft, are the seller of SuiteMemo subscriptions. Google (Chrome Web Store) and Microsoft (Edge Add-ons) only distribute the extension. Our privacy policy explains how we handle data.

2. Your license to use SuiteMemo

We give you a personal, non-exclusive, non-transferable license to install and use SuiteMemo on the Free plan and, while a subscription for your NetSuite account is active, on Unlimited. You may not resell SuiteMemo, or copy, modify or redistribute it except as the law allows. We keep all rights in SuiteMemo that these terms do not give you.

3. Plans and the note cap

  • Plans are per NetSuite account. A NetSuite account means the account number, including its production environment and all of its sandboxes, which share one set of notes and one count. Every person on the account who has SuiteMemo is covered; there are no seats.
  • Free costs nothing and needs no sign-in or card. It allows 50 notes per NetSuite account, one per saved search.
  • At 50 notes on Free, existing notes can still be read, edited and deleted. New notes need Unlimited.
  • Over 50 notes on Free (which can only happen after a subscription ends), notes can be read, exported and deleted but not edited or added until the account is under 50 or back on Unlimited.
  • Unlimited removes the cap and adds note history with restore and priority support. We never delete notes because of a plan change.

4. Subscriptions and payment

  • Price (US dollars): Unlimited is $29 per month or $290 per year, per NetSuite account. Current prices are on the pricing page.
  • First month free: a new Unlimited subscription starts with a 30-day trial. You enter a card at checkout and nothing is charged until the trial ends. Stripe emails you before the first charge. Cancel in the billing portal before the trial ends and you are never charged. One trial per NetSuite account.
  • Who can subscribe: an admin on the NetSuite account (section 8), signed in to SuiteMemo with their email. That person is the payer and is responsible for the subscription's payments.
  • Payment is taken by Stripe on our behalf. Your card details go to Stripe; we never receive them.
  • Renewal: subscriptions renew automatically at the end of each period and are charged to the payment method on file until you cancel.
  • Failed payments: if a renewal payment fails, the account keeps Unlimited for 7 days after the period ends while Stripe retries. After that, the account is on Free and the note cap applies until payment succeeds.
  • Taxes: [owner: whether prices include or exclude sales tax/VAT].
  • Price changes: we will email you at least 30 days before a new price applies to your next renewal. You can cancel before then.

5. Refunds

DRAFT: proposed refund policy, pending owner approval.

  • If you ask within 14 calendar days of the first charge for a subscription, we refund that charge in full. Email support@suitememo.com from the address you signed in with.
  • Outside that window, payments are not refundable, in full or in part, and we do not give prorated refunds for unused time.
  • Nothing in this section limits refund rights you have under the law where you live.

6. Cancelling

  • You can cancel any time from SuiteMemo's Settings ("Manage billing", which opens Stripe's billing portal). Cancelling stops future renewals. The account keeps Unlimited until the end of the period you already paid for, then goes back to Free.
  • Deleting your SuiteMemo sign-in does not cancel the subscription. It removes your email and your link as the payer; the subscription keeps running for the NetSuite account. Cancel first if you want it to stop.

7. After a subscription ends

  • The account is on Free and the note cap in section 3 applies. Every note stays. With more than 50 notes, they are read-only until the account is under 50 or back on Unlimited. SuiteMemo shows a notice saying this on the saved search pages, in the toolbar popup and in Settings.
  • Note history is kept but not shown until the account is back on Unlimited.
  • You can export notes at any time, on any plan. We do not delete notes because a subscription ended.
  • If SuiteMemo cannot reach our server to confirm the account's plan, it keeps working on the last confirmed plan for up to 7 days. After that, it treats the account as Free, using the note count it has locally, until it can reach the server again.

8. Accounts, admins and access

  • SuiteMemo recognises admins by their NetSuite role, as reported by the NetSuite page. The Administrator role counts by default; admins can change which roles count. Admins can see who on the account has SuiteMemo, set each person to viewer or editor, change the admin role list, and buy or manage the subscription.
  • Everyone else on the account is an editor by default and can read, write, edit and delete any note on the account. A viewer can read notes but not change them.
  • The role SuiteMemo reads is what NetSuite shows for the signed-in user. If your NetSuite account gives someone a role they should not have, that is between you and your NetSuite administrator, not something SuiteMemo can check.

9. Your notes

Notes belong to the NetSuite account they are written on, and anyone on that account with SuiteMemo can read them and, as an editor, change or delete them. You give us permission to store, copy and send notes only as needed to run SuiteMemo (for example, showing them to the other people on the account and keeping their history). You are responsible for what you write, and for having the right to write it, including anything about your employer's or client's NetSuite account. Do not put passwords, card numbers or other secrets in notes.

10. Acceptable use

You agree not to:

  • try to get around the note cap, the plan checks or viewer access;
  • attack, overload, probe or reverse engineer the SuiteMemo service, or access another NetSuite account's notes or member list;
  • use SuiteMemo to store unlawful content or to break NetSuite's or Oracle's terms that apply to you.

We may suspend accounts that break these rules, after telling you why where we reasonably can.

11. Availability and NetSuite changes

We work to keep SuiteMemo running but do not promise it will always be available. NetSuite changes its pages, usually twice a year, and a change can stop SuiteMemo from showing notes until we ship an update through the browser stores, which their review can delay. Notes are stored separately from NetSuite, so a NetSuite change does not delete them, and export keeps working. SuiteMemo never writes anything to your NetSuite account.

12. NetSuite and Oracle

NetSuite is a registered trademark of Oracle and/or its affiliates. SuiteMemo is not affiliated with or endorsed by Oracle. Your use of NetSuite is governed by your agreement with Oracle, not by these terms.

13. No warranty

To the extent the law allows, SuiteMemo is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability and non-infringement. Keep an export of notes you cannot afford to lose.

14. Limit of liability

DRAFT: proposed cap.

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for all claims about SuiteMemo is limited to the amount you paid us for SuiteMemo in the 12 months before the claim, or US $50 if you paid nothing. Some places do not allow these limits, so they may not apply to you.

15. Ending these terms

You can stop using SuiteMemo at any time by uninstalling it and, if you want our copy of your sign-in data removed, deleting your sign-in. We may end these terms or stop offering SuiteMemo with 30 days' notice by email to signed-in users; if we do, we will refund the unused part of any prepaid period and keep export working until the end of the notice period.

16. Governing law

These terms are governed by the laws of the State of Florida, and disputes go to the courts of Palm Beach County, Florida (West Palm Beach), unless the law where you live gives you the right to bring a claim in your local courts.

17. Changes

We may update these terms. We will change the effective date above and, for changes that affect paying customers, email signed-in users at least 30 days before they take effect. If you do not agree, you can cancel before then.
